Client Agreement

This agreement is made on Thursday, 5th February 2026 between:

Ria Michaela Ltd, a private limited company registered in England and Wales under company number 13867574, with its registered office at Unit A, 82 James Carter Road, Mildenhall Industrial Estate, Suffolk, IP28 7DE (hereinafter referred to as the Private Household Staff Agency). For the purposes of this Agreement, “The Private Household Staff Agency” shall include all associated names and entities, including but not limited to Ria Michaela, riamichaela.com, education@riamichaela.com, and the Agency.

Jasmine Sirius, residing at 90 Pempath Place, HA9 8QR (“the Client”).

Definition of the Agency

This agreement is made on Thursday, 5th February The Private Household Staff Agency”, “the Agency” “the Agency owner”, or “Organisation” refers to Ria Michaela Ltd trading as riamichaela.com and, where applicable, any third party or business introduced or referred to the Client through the Agency.

Definition of the Client

The term “Client” refers to the individual who uses the services provided via riamichaela.com.

Definition of the Tutor

Tutor”or “Candidate refers to any individual engaged by Ria Michaela Ltd (The Private Household Staff Agency) to provide tutoring services to Clients. The Tutor operates on a self-employed or subcontracted basis and is responsible for delivering educational support as agreed with the Client and the Agency.

Student refers to the individual receiving tutoring services, who is the Client’s child or another designated person seeking educational support. The Student is the recipient of the tutoring sessions, and the services are tailored to their learning needs as specified by the Client.

Term and Renewal

This agreement shall commence on the date of acceptance by the Client and shall continue unless and until terminated in accordance with the termination provisions set out herein.

Engagement of Services

Ria Michaela’s Private Household Staff Agency is pleased to offer tutoring services delivered by Tutors introduced and managed by the Agency.

As a benefit to long-term clients residing in Wembley, the Agency provides the sourcing and vetting of Tutors via riamichaela.com at no upfront cost to the client.

The Agency does not charge parents a separate agency or introduction fee for tutoring services, which typically ranges from £75 to £250 within the tutoring sector.

Instead, a service fee of £5 per hour is retained by the Agency from the agreed hourly tutoring rate.

For example, where the agreed tutoring rate is £50 per hour, the Agency retains £5 per hour, and the Tutor receives £45 per hour.

This service fee contributes towards ongoing administration, compliance and safeguarding checks, payment handling, and continued support throughout the engagement.

The Agency will introduce a suitable Tutor to the Client based on the Client’s tutoring needs.

The Client will provide a safe and appropriate learning environment for the Tutor to conduct sessions.

The Client agrees to discuss and confirm the tutoring requirements directly with the Tutor once the Tutor is introduced.

The Client acknowledges that the Student’s academic development and overall learning are of paramount importance to Ria Michaela’s Private Household Staff Agency. The Client agrees to actively support and facilitate the Student’s educational progress by cooperating with both the Agency and the assigned Tutor. This includes, but is not limited to, providing a suitable learning environment, timely communication regarding any concerns, and adherence to agreed tutoring schedules and strategies. The Client recognises that such collaboration is essential to achieving the best possible educational outcomes for the Student.

This contract becomes effective only once both the Client and the Tutor confirm to the Agency their intention to proceed with the interview, trial session or placement. The placement will commence only after two satisfactory references from recent work have been successfully received by the Agency at education@riamichaela.com. Please note that the process of obtaining references may take two weeks or more.

The agreement allows us to proceed with the interview and trial and sets out the Agency terms should you decide to continue. It does not commit you to ongoing weekly sessions at this stage, and you are free to decide after the trial whether you wish to proceed.

Pre-Engagement for Release of Tutor Contact Details

Client Agreement – Prior to the release of any Tutor contact details, Clients are required to sign this agreement with Ria Michaela’s Private Household Staff Agency. This agreement outlines the terms of our services and ensures mutual understanding.

Tutor Agreement – Similarly, tutors must enter into a contractual agreement with riamichaela.com, detailing their responsibilities and our service terms.

Exchange of Contact Details – Contact information and address details is exchanged by riamichaela.com only after both the Client and Tutor have signed their respective contracts or upon electronic acceptance of this agreement. This protocol safeguards the interests of all parties and maintains the integrity of our services.

Booking and Confirmation Policy

Session Scheduling – The Client agrees to confirm all tutoring bookings, rescheduling, or cancellations with Ria Michaela’s Private Household Staff Agency prior to finalising any arrangements with the Tutor on 07802 618361. The Client must not independently finalise or confirm any bookings with the Tutor without prior confirmation from Ria Michaela’s Private Household Staff Agency. Any unauthorised bookings or changes will be considered a breach of contract and this agreement may be terminated.

Proposing Session Times – Although Clients may discuss and propose times for future sessions with the Tutor, such discussions do not constitute a confirmed booking until the agreed details are communicated to the Agency. 

Breach of Contract – Any attempt by the Client to arrange, book, or make payment for tutoring services directly with the Tutor, outside of the Agency, shall constitute a breach of this agreement and may result in termination.

Tutor’s Role & Responsibilities

Tutoring Sessions

Conduct one in-person tutoring session per week, preferably on Thursdays after school, for one hour at 5.30 pm, at the Client’s residence in Wembley (Preston Road).

Subjects and Focus Areas

Provide instruction in Mathematics and English, with an initial emphasis on Mathematics. Specific areas of focus include addition, subtraction, and counting in order.

Teaching Approach

Utilise both play-based and structured learning methods to determine which approach the Student responds to most effectively.

Progress Updates

Regularly assess and communicate the Student’s progress to the Client and Agency, offering insights into achievements and areas requiring further development.

Preparation and Planning

Design and prepare lesson plans tailored to the Student’s learning needs and objectives.

Punctuality and Attendance

Arrive on time for scheduled sessions and notify the Client and Agency in advance of any necessary cancellations or rescheduling.

Confidentiality

Maintain the confidentiality of all Student information and adhere to data protection regulations.

Professional Conduct

The Tutor shall provide professional tutoring services to the best of their ability, demonstrating expertise, patience, and a commitment to the Student’s learning progress.

The Tutor must conduct themselves with professionalism in all interactions with the Student and Client, fostering a positive and supportive learning environment.

Dress and Appearance

Maintain a professional appearance during all tutoring sessions. Attire should be appropriate for an educational setting, promoting a positive and respectful image. Clothing must not be revealing, offensive, or display contentious slogans or logos.

Self-Employment Status

The Tutor acknowledges that they are engaged as a self-employed individual and are responsible for their own taxes, National Insurance contributions, and compliance with all relevant legal obligations. The Tutor will not seek or accept payment directly from the Client; all payments will be processed through the Agency.

Limitations of Responsibility

The Tutor’s responsibilities are strictly limited to the provision of tutoring services as outlined in this contract. The Tutor is not responsible for childcare or supervision of the Student outside of the agreed tutoring sessions.

Supervision During Sessions

For Students under the age of 18, ensure that a responsible adult (e.g., parent or guardian) is present in the home during tutoring sessions, unless an alternative arrangement is agreed upon in writing by the Client.

The Private Household Staff Agency’s Role & Fees

The Agency will introduce the Tutor to the Client and arrange the terms of service between the Client and the Tutor.

The Client agrees to pay a total fee of £50 per hour for tutoring services. Of this amount, £45 per hour constitutes the Tutor's earnings, while the remaining £5 per hour serves as Ria Michaela’s Agency fee.

Trial Session Fees

An initial introductory session will be arranged prior to the commencement of ongoing tuition. The trial session is charged at the agreed hourly rate and is payable in accordance with the Agency’s payment terms. The purpose of this session is to assess suitability and ensure that both the Client and Tutor are comfortable proceeding. There is no obligation to continue beyond the trial session.

All payments for tutoring services must be made directly to Ria Michaela Ltd. The Client shall not make any payments to the Tutor directly unless expressly authorised in writing by the Agency.

Payment Policy

Payment is due on the last Friday of each week, or on an alternative day as mutually agreed in advance. The Agency reserves the right to amend the payment timeframe if necessary. In such cases, the Client will be notified in advance of any changes to the payment schedule. For any payment-related inquiries, please contact the Agency directly and refrain from discussing payment matters with Tutors. 

Non-Circumvention and Direct Engagement

The Client agrees that all tutoring services provided by any Tutor introduced by the Agency shall be arranged, booked, and paid for exclusively through the Agency for the duration of this agreement.

The Client shall not directly engage, employ, or contract with any Tutor introduced by the Agency outside of the Agency’s arrangements while this agreement remains in force.

Following termination of this agreement for any reason, the Client agrees not to engage, employ, or contract directly with the Tutor for a period of twelve (12) months from the date of the last tutoring session facilitated by the Agency.

For the purposes of this clause, where tutoring services are provided on an ongoing basis, the “last tutoring session” shall be deemed to occur only once the engagement has been formally terminated by either party, with written notice provided to education@riamichaela.com.

Any breach of this clause may result in termination of this agreement, and the Agency reserves the right to recover any losses reasonably incurred as a result of such breach.

Payment Protection

The Client agrees to pay the full session fee as set by the Agency for each tutoring session, in accordance with the agreed payment terms.

Fees are payable to the Agency regardless of any discussions, arrangements, or communications between the Client and the Tutor that are not authorised by the Agency.

Cancellations & Rescheduling

If the Client needs to cancel a tutoring session, more than 72 hours’ notice must be notified to the Agency and the Tutor. Where such notice is given, the session may be cancelled or rescheduled free of charge.

Where a session is cancelled with less than 72 hours’ notice, the Client may avoid a cancellation fee by rescheduling the session to a later date at a mutually convenient time with the Tutor and the Agency.

If a session cancelled with less than 72 hours’ notice is not rescheduled, a cancellation fee of 50% of the total session fee may apply.

Regular attendance supports the Student’s progress and the Tutor’s continued availability. Repeated short-notice cancellations may affect the Tutor’s ability to commit to ongoing sessions.

We understand that unforeseen circumstances may arise. If you need to cancel at short notice, please contact us as soon as possible and we’ll do our best to help.

Client Dissatisfaction and Replacement Policy 

Ria Michaela will attempt to provide a replacement Tutor free of charge if the Tutor leaves or the Client is dissatisfied with the Tutor within a three month period. However, the Agency does not guarantee that an alternative Tutor will be available, particularly if the cancellation occurs at short notice. The process of sourcing and vetting a suitable Tutor is dependent on availability, Client requirements, and Ria Michaela’s recruitment procedures. While the Agency endeavours to match Clients with an appropriate Tutor as efficiently as possible, this process may take up to three months in more complex or highly specific cases. This timeframe represents a worst case scenario and is not typical. In most circumstances, the Agency aims to secure a suitable replacement sooner, subject to availability.

Where feasible, the Agency may propose a temporary Tutor to maintain continuity of tuition while a longer term replacement is sourced.

Health & Safety

The Client and Tutor each agree to take reasonable steps to ensure a safe learning environment during tutoring sessions.

Ventilation and Safety Measures

The Client agrees to maintain adequate ventilation by keeping windows open in areas designated for tutoring sessions, weather permitting, ensuring a safe and comfortable learning environment. This practice supports indoor air quality and contributes to the overall well-being of both the Student and Tutor. Additionally, The Client agrees to promptly inform the Tutor if the Student is unwell on a scheduled tutoring day.


Confidentiality & Data Protection

Both parties agree to keep confidential any personal, academic, or business information obtained during the course of this agreement.

The Client and Tutor agree to comply with GDPR guidelines when handling personal data and sensitive information.

The Agency will handle all personal data in accordance with its data protection policies and will not disclose such information to third parties without the Client’s consent.

Security 

The Client must inform the Tutor of the presence and operation of any security cameras in their household upon arrival (if applicable).



The Client confirms that security cameras are installed in designated common areas of the household strictly for safety and security purposes.

The security cameras are installed only in areas where there is no reasonable expectation of privacy, and no cameras are placed in private areas such as bathrooms or toilets.

In the UK, it is a legal requirement to inform candidates if there are security cameras in the home, especially if they record audio. Under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, individuals have a right to know they are being recorded.

Liability

The Agency acts solely as an introducer of Tutors and does not provide tutoring services itself.

While the Agency undertakes reasonable vetting and compliance checks, the Agency does not accept liability for any inaccuracies, omissions, or misrepresentations contained in information or documentation provided by the Tutor.

The Client retains responsibility for satisfying themselves as to the suitability of any Tutor introduced by the Agency and may request to review relevant documentation prior to engagement.

The Agency shall not be liable for any acts, omissions, negligence, or conduct of the Tutor, nor for the outcome of any tutoring sessions, including academic performance or progress.

Termination of Agreement

The first fourteen days from the commencement of tuition shall be considered a settling in period. During this time, either party may terminate the agreement by providing seven days written notice via email to education@riamichaela.com. The Agency will endeavour to offer a suitable replacement where appropriate.

Standard Notice Period

Following the settling in period, either party may terminate this agreement by providing 30 days written notice via email to education@riamichaela.com.

The Agency reserves the right to terminate this agreement immediately in cases of misconduct, breach of contract, or failure to make payments.

If the Client terminates the agreement without cause, they remain responsible for payment of any sessions conducted up until the effective date of termination, in accordance with the applicable notice period.

Governing Law

This agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
