1. Contract Formation
This Agreement constitutes a legally binding contract between Ria Michaela Ltd and Jasmin Sirius.
Acceptance of this Agreement shall be deemed to occur upon written confirmation, continued engagement of services, or payment of any invoice issued by Ria Michaela Ltd.
This Agreement applies to all nanny services provided by Ria Michaela Ltd through its Director, Ria Michaela.
2. Nature of Services
Ria Michaela Ltd provides professional nanny and childcare services directly to the Client.
Services may include:
• sole charge childcare
• supervision and safeguarding
• age appropriate play and activities
• homework support where applicable
• meal preparation for the child
• light tidying related to childcare activities
• support with routines and structure
All services are non clinical in nature.
No services constitute counselling, therapy, medical advice, behavioural intervention, psychological services, or diagnostic support.
The Client remains fully responsible for obtaining any medical, therapeutic, psychological, or specialist support required for the child.
3. Professional Boundaries
The relationship between the parties is strictly professional.
Ria Michaela provides childcare services only and does not provide counselling, therapy, psychological support, or informal advisory services beyond the agreed childcare duties.
Open, respectful, and warm communication is encouraged. The Client may share relevant information relating to the child or household to support continuity of care. Any communication provided by Ria Michaela is given in a professional capacity and does not constitute therapeutic, clinical, or medical advice.
4. Communication & Availability
Communication may take place via text message, telephone, or in person.
Communication outside agreed working hours may not receive an immediate response unless previously arranged.
Continued or extended communication beyond reasonable childcare matters may require a separate agreed arrangement.
5. Fees & Agreed Schedule
The agreed hourly rate for nanny services is £15 per hour on the agreed working schedule.
Any variation to the agreed schedule must be confirmed in writing.
All hours worked in excess of the agreed schedule will be invoiced at £15 per hour.
A minimum charge of four hours applies to each booking unless otherwise agreed in writing.
Invoices shall be issued in accordance with the agreed booking structure and are payable within the agreed time frame.
Fees are exclusive of VAT unless expressly stated otherwise. Where applicable, VAT will be charged at the prevailing statutory rate.
6. Late Payment Protection
Ria Michaela Ltd reserves the right to decline or cancel future bookings where outstanding invoices remain unpaid.
7. Booking Structure
All bookings must confirm start time, end time, and location of care.
Booked hours are fixed once confirmed.
Early finishes requested by the Client do not reduce the agreed fee.
Additional hours worked beyond the agreed end time will be invoiced accordingly.
8. Cancellation Policy
Cancellations made more than 24 hours prior to the scheduled start time of a temporary, ad hoc, or short-term booking may be eligible for a refund at the discretion of Ria Michaela and in accordance with the applicable Refund Policy.
Cancellations made within 24 hours of the scheduled start time, including cancellations made on the day care is due to commence, remain payable in full.
Where an emergency booking has been made on the day prior to the start of care, the Client may cancel free of charge provided written notice is received no later than 5:00 pm on that same day.
Emergency bookings cancelled after 5:00 pm on the day prior to care, or cancelled on the day care is due to commence, remain payable in full.
9. Expenses
Any reasonable expenses incurred wholly for the child’s benefit must be reimbursed by the Client.
Where possible, expense funds must be provided in advance.
10. Contracting Structure
The Client contracts directly with Ria Michaela Ltd for the provision of nanny services.
Ria Michaela Ltd provides services through its Director, Ria Michaela.
Nothing in this Agreement creates a contract of employment between Jasmin Sirius and Ria Michaela personally.
Ria Michaela Ltd is responsible for its own tax liabilities and statutory obligations.
The Client remains responsible for ensuring that appropriate household insurance is in place to cover in home childcare provision and associated risks.
11. ADHD Support Provision
Where Kali Sirius presents with traits associated with Attention Deficit Hyperactivity Disorder or related neurodivergent characteristics, Ria Michaela Ltd agrees to provide structured and developmentally appropriate support within the scope of professional childcare services.
Support may include:
• maintaining consistent routines
• providing clear instructions
• implementing positive reinforcement
• supporting emotional regulation
• reducing overstimulation where reasonably practicable
Ria Michaela Ltd does not provide clinical, diagnostic, therapeutic, or medical ADHD treatment.
Responsibility for medical assessment, diagnosis, therapy, medication, or specialist intervention remains solely with the Client and qualified professionals.
No guarantee is made regarding behavioural or developmental outcomes.
12. Client Responsibilities
The Client agrees to provide a safe, clean, and suitable working environment.
The Client must disclose any medical conditions, allergies, behavioural needs, safeguarding concerns, or relevant court orders.
The Client must disclose the presence of any CCTV or recording devices within the home prior to commencement of services.
CCTV must not be installed in private areas such as bathrooms or bedrooms.
Failure to provide a safe environment may result in immediate termination.
13. Liability
Nothing in this Agreement limits liability for death or personal injury caused by negligence or any liability that cannot lawfully be excluded.
Subject to this, total liability arising from any booking shall not exceed the total fees paid for that specific booking.
Ria Michaela Ltd shall not be liable for indirect or consequential loss.
14. Confidentiality
Both parties agree to maintain confidentiality in respect of personal, family, and business matters.
No content relating to services provided may be shared publicly or on social media without written consent.
15. Termination
Either party may terminate ongoing services by providing 30 days written notice.
Immediate termination may occur where:
• payment obligations are not met
• safeguarding concerns arise
• working conditions are unsafe
• there is a material breach of this Agreement
Outstanding fees remain payable upon termination.
16. Force Majeure
Neither party shall be liable for delay or failure to perform obligations where caused by circumstances beyond reasonable control including illness, severe weather, or national emergency.
17. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior discussions, representations, assurances, or understandings relating to its subject matter.
18. Governing Law
This Agreement is governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
Appendix A
Safeguarding & Child Protection
Ria Michaela Ltd is committed to promoting the safety and wellbeing of Kali Sirius at all times.
If any safeguarding concern arises, Ria Michaela Ltd reserves the right to raise concerns with the Client and where necessary make a referral to relevant authorities where there is reasonable belief a child may be at risk of harm.
In the event of medical emergency, immediate medical assistance may be sought.
The Client must provide up to date emergency contacts and relevant medical information.
Any physical guidance used will be minimal, reasonable, and proportionate to ensure immediate safety.
Corporal punishment is strictly prohibited.
